TERMS AND CONDITIONS 1.0

Note: The mention "we", "us" or "our" refers to Makila, producer of the Cuban Hat project and our partner in the Doc Circuit Montreal contest.

BY COMPLETING THIS FORM AND UPLOADING YOUR PROJECT, YOU UNDERSTAND AND AGREE TO THE FOLLOWING TERMS AND CONDITIONS:

1. General

1.1 The eligibility criteria for the Cuban Hat pitch competition at Doc Circuit Montréal 2018 are as follows:

all Canadian-based media creators (citizens and permanent residents)

all formats and types of documentaries or hybrid genres

all types of projects, production stages, genres, formats and media

1.2 If you are eligible to participate in the Cuban Hat pitch contest at Doc Circuit Montréal 2018 according to the eligibility criteria, you must comply with the requirements and conditions of the contest as set out in the call for proposals.

1.3 By submitting your project to the Makila platform, you agree to these terms and conditions and that the video and other content associated with your project that you have submitted will be used for purposes related to the "Cuban Hat / Doc circuit Montreal pitch contest". If you do not agree to these terms and conditions, please do not submit your project or upload your video or other content. We reserve the right to refuse any video or content that we believe does not meet these conditions.

1.4 We reserve the right to use the personal and project information you provide us at the time of submission in the manner detailed in the Privacy Policy.

2. Video pitch

2.1 You grant us an irrevocable license to use, distribute, transmit, transmit, broadcast, make available and display your video (or part of your video) (including, but not limited to your performance) free of charge, by any means or process known or subsequently developed. You understand without limitation online or on television and may be exercised at our sole discretion worldwide and in perpetuity for the purposes of the Cuban Hat and its promotion and in particular on the makila.tvonvenez site that we may allow other parties authorized by us, including without limitation Doc Circuit Montreal, to license your video for their use.

2.2 You are responsible for the content of your submission and video. You certify that you are fully authorized and empowered to submit the video and your content in accordance with these terms and conditions, and that by doing so, you are not infringing any copyright or other rights owned by any third party, or any applicable law or regulation in Canada. You certify that you have all the necessary licenses, rights, authorizations and consents to allow you to download and distribute the video and to authorize us to do the same. You agree to provide us with proof of such licenses, rights, consents and authorizations as required.

2.3 At any time and at any stage of the competition, we may accept or reject your project and/or video at our sole discretion. Nothing in these conditions guarantees that we will use, display or select your project and/or video.

3. Votes and donations

3.1 We are not responsible for promoting your project or attracting votes, comments or any other means of interaction for your project. Your success or failure in the competition and at each of its stages is your sole responsibility.

3.2 During the contest, all donations that may have been accumulated in the name of the Cuban Hat Prize will be awarded to the winning project(s). We reserve the discretion to assign and divide the prize between one, two or more projects as long as their success is representative of the public's vote, that of the selection committee and/or that of the experts during the pitch evening.

4. Selected projects

4.1 A panel of experts selected by Makila from the documentary arts community will select the projects that will participate in the final pitch event that will take place during the RIDM Doc Circuit Montréal on November 12, 2018 ("the Final Pitch"). You must then agree, within 24 hours of notification to the email address you have submitted to us, to attend in person the Final Pitch and two of the three related workshops as specified in the email you will receive. If you do not respond or agree to appear in person at the Final Pitch within the previous deadline, we will have the right to select another project to replace you.

4.2 If your project is selected in the online competition, you authorize us to store it in our database and make it accessible to any visitor to the makila.tv website and any other domain name or subdomain name related to the event or the Cuban Hat Project, for a minimum period of one (1) year after the event.

5. Final Pitch Event

5.1 If you are selected for the Final Pitch, you agree to participate in Doc Circuit Montréal 2019, including meetings, training and events related to the final Pitch evening as detailed in the selection email. All projects selected in the online contest will have access to one (1) accreditation for Doc Circuit Montréal 2019 per team, access to at least two (2) pitch training sessions before the live presentation for all team members and access to a participation in the Final Pitch for all team members. Accreditation to Doc Circuit Montréal 2018 for the other members of your team will be charged at full cost.

5.2 We are not responsible for paying travel or accommodation expenses to Montreal. You will also be responsible for bringing any special materials or equipment required to show your visual support material during your pitch. However, a standard video projector and sound system will be available on the event site.

5.3 If you attend Doc Circuit Montréal 2018, you will be responsible for booking your own meetings with industry delegates through the event booking system. We are not responsible for cancelled meetings, workshops or events.

6. Live streaming

If you participate in the Final Pitch, you grant us an irrevocable license to use, distribute, transmit, broadcast, make available and display your live presentation (or part thereof) free of charge, by any means or process known or invented subsequently, including without limitation online or on television, and exercisable in our sole discretion worldwide and in perpetuity. This includes any type of video, sound and images used during the presentation.

7. Price

7.1 During the competition, we receive commitments for donations or services of any kind that are allocated to the selected projects or to a particular project. We will put you in touch with donors and you will be responsible for collecting donations. Donors may impose conditions on you to receive the donations you must respect. If donors do not make these donations or provide services to you, we cannot be held responsible. We do not guarantee that you will receive these donations. If we have received in-kind donations through the intermediary, we will give these donations to the winning project(s) according to the distribution we have agreed on merit. We reserve the right to collect a fee, not exceeding 10%, on monetary donations, whether from private sponsors or individuals accumulated during the current contest or by any other use of the fundraising mechanism available on our makila.tv platform for your project. Details and terms of such fees will be communicated in writing and any charges will be agreed in advance with the winning team(s).

7.2 If you win one or more prizes in our pitch contest, you will only have eighteen (18) months to use the service donations that have been collected by us and our partners. If you have not used all or just part of the prize within eighteen (18) months, you understand that you lose the privilege of accessing these prizes and that you will be solely responsible.

8. Monitoring

If you are selected for the Final Pitch, you undertake to inform us of any major developments in your project, in particular when you are able to meet the needs (in money, goods or services) you have indicated in your submission form to our competition. You also undertake to inform us of the film's completion date and details of its world premiere and any other important public screenings.

9. Completed project and credits

9.1 - If you win a prize in our pitch contest, you agree to mention in your closing credits the Cuban Hat Prize offered by Makila and Doc Circuit Montréal as well as all the sponsors included in your prize. For the Cuban Hat Project, you agree to put the Makila logo and the following short mention: "Winner of the Cuban Hat Award for Best Pitch at Doc Circuit Montreal". As for the sponsors and partners of your award, you must mention the companies and/or institutions in the same way as the other partners in your project.

9.2 Once your project is completed, we will have the right to negotiate a limited and non-exclusive licensing option for your project to share it in the room or online with our Cuban Hat registered community. This licensing option is not mandatory and the terms will be negotiated individually and separately with the rights holder(s) for each project.
